1. Acceptance of terms

By creating an account, signing in, or otherwise using the DrAxis mobile application (Android or iOS), the DrAxis web application at https://app.draxis.app, or the DrAxis backend API at https://api.draxis.app (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms") and the documents incorporated by reference:

  • Medical Disclaimer (03-medical-disclaimer.md)
  • Acceptable Use Policy (04-acceptable-use-policy.md)
  • Data Retention Policy (05-data-retention-policy.md)
  • Cookie Policy (07-cookie-policy.md)

If you do not agree, do not use the Service.

1.1 Eligibility

You may use the Service only if:

  1. You are at least 18 years old.
  2. You are a licensed healthcare professional (physician, resident, intern, or other licensed practitioner) authorized to practice in your country.
  3. You are legally able to form a binding contract under the laws of your country of residence.
  4. You are not prohibited from using the Service under the laws of your country of residence or under applicable sanctions regimes.

1.2 Account verification

You must provide accurate, complete, and current information at registration and keep it updated. We verify professional credentials before granting access to certain features (messaging, clinical content). Verification may be refused, suspended, or revoked at our discretion where:

  • Credentials cannot be verified.
  • The license has expired, been revoked, or is subject to restrictions.
  • The account is being used in breach of these Terms.

2. Definitions

  • "Controller", "Processor", "Personal Data", "Special Categories of Personal Data" have the meanings given in the GDPR and in the equivalent laws of Tunisia (Organic Law n° 2004-63), KSA (PDPL), UAE (PDPL), and other applicable jurisdictions.
  • "Content" means any data, text, calculator inputs, messages, attachments, or other material submitted to the Service by Users.
  • "User" means a licensed healthcare professional who has registered an account.
  • "Verified User" means a User whose professional credentials have been reviewed and approved by DrAxis.
  • "Calculator" means a clinical decision-support tool provided by DrAxis that computes an output from structured inputs.
  • "ATB Suggestion" means the antibiotic-suggestion tool provided as an educational demonstration.

3. License to use the Service

Subject to your compliance with these Terms, we grant you a personal, non-exclusive, non-transferable, revocable, limited license to:

  1. Access and use the Service for your own professional clinical reference.
  2. Use the Calculators and reference content for educational and informational purposes.
  3. Exchange messages with other Verified Users via the in-app messaging feature.

This license does not include the right to:

  • Redistribute, resell, sublicense, or commercialize the Service or any Content.
  • Reverse-engineer, decompile, or disassemble the Service (except to the extent permitted by applicable law).
  • Use the Service to provide a competing service.
  • Access the Service via automated scripts, scrapers, or bots except through documented public APIs.

4. Your responsibilities

4.1 Professional conduct

You agree to use the Service in accordance with:

  • The code of medical ethics of your country of practice (e.g., Tunisian Code of Medical Ethics, Law n° 94-112 of 31 October 1994).
  • The professional secrecy obligations applicable to you.
  • All applicable laws and regulations, including data protection laws.

4.2 Patient data

You are solely responsible for:

  • Anonymizing or pseudonymizing patient data before entering it into Calculators or sharing it via messaging.
  • Obtaining any necessary patient consent before sharing identifiable information.
  • Complying with medical record retention rules in your jurisdiction.

4.3 Account security

You agree to:

  • Keep your authentication credentials (phone, OTP) confidential.
  • Not share your account with others.
  • Notify us immediately at security@draxis.app of any unauthorized use.

4.4 Accuracy of information

You agree to provide accurate professional information at registration and to update it if it changes (e.g., license renewal, change of hospital).


5. Content and ownership

5.1 DrAxis-owned content

The Service, including Calculators, drug databases, clinical protocols, guidelines, and software, is owned by DrAxis and its licensors, and is protected by intellectual property laws. No ownership is transferred to you.

5.2 User content

You retain ownership of Content you submit. By submitting Content, you grant DrAxis a worldwide, non-exclusive, royalty-free license to use, process, and store the Content solely to provide the Service to you and to comply with legal obligations (e.g., audit logging).

5.3 Calculator outputs

Calculator outputs are generated by server-side formulas and are provided to you for your professional reference. Outputs are not stored on our servers unless you explicitly save them to your account.


6. Medical disclaimer

The Service is an informational and educational reference tool for licensed healthcare professionals. It is not:

  • A medical device under EU MDR (Reg. (EU) 2017/745) or equivalent laws.
  • A substitute for professional clinical judgment.
  • A diagnostic tool for direct patient care without independent verification.
  • A source of personalized medical advice.

7. Acceptable use

You agree not to (see full policy in 04-acceptable-use-policy.md):

  • Use the Service for any unlawful purpose.
  • Enter or share identifiable patient data without appropriate consent or anonymization.
  • Use the Calculators or ATB Suggestion as the sole basis for a clinical decision.
  • Harass, defame, or mislead other Users.
  • Attempt to access data or systems beyond your authorization.
  • Introduce malware or conduct denial-of-service attacks.

8. Account deletion

You may delete your account at any time via the in-app "Delete my account" feature, or by emailing dpo@draxis.app. Upon deletion:

  • Your account data is hard-deleted within 30 days.
  • Audit log entries referencing your account are retained for the period required by law (see 05-data-retention-policy.md).
  • Messages you sent remain visible to recipients unless you request their deletion before account deletion.

9. Service availability

We strive to maintain the Service but do not guarantee uninterrupted access. We may:

  • Suspend or restrict access for maintenance, security, or legal reasons.
  • Modify or discontinue features with reasonable notice.
  • Limit access in jurisdictions where operation is not legally permitted.

The Service requires an internet connection; offline use is limited and clearly indicated in the app.


10. Fees

The Service is currently offered free of charge to verified healthcare professionals. We may introduce paid plans in the future; any fees will be clearly disclosed before they take effect, and these Terms will be updated.


11. Intellectual property indemnity

You agree not to submit Content that infringes the intellectual property rights of any third party. You remain solely liable for any Content you submit.


12. Disclaimers and limitation of liability

12.1 Service provided "as is"

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12.2 Limitation of liability

To the maximum extent permitted by law, in no event shall DrAxis be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages.
  • Loss of profits, data, or goodwill.
  • Any claim arising from your use of Calculator outputs in patient care without independent clinical judgment.
  • Any claim arising from Content you or another User submitted.

12.3 Mandatory rights

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain liabilities. In such cases, the above exclusions apply only to the extent permitted by law. In particular:

  • EU consumers: nothing in these Terms affects your statutory rights under EU/national law.
  • Tunisian users: nothing affects your rights under the Tunisian Consumer Protection Code (Law n° 117-2004) where applicable.
  • Gulf users: nothing affects your rights under applicable consumer protection laws.

13. Indemnification

You agree to indemnify and hold DrAxis harmless from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of:

  • Your breach of these Terms.
  • Your misuse of the Service.
  • Your violation of applicable law or the rights of any third party (including patients).
  • Content you submit.

14. Termination

You may terminate your account at any time. We may suspend or terminate your access if:

  • You breach these Terms.
  • Your professional license is revoked or restricted.
  • We are legally required to do so.
  • Continued operation is not commercially viable (with reasonable notice).

Upon termination, your license to use the Service ends immediately.


15. Governing law and dispute resolution

15.1 Tunisia (primary)

These Terms are governed by the laws of the Republic of Tunisia. Any dispute shall be submitted to the competent courts of Tunis, without prejudice to your right to lodge a complaint with INPDP or other competent authority.

15.2 European Union

For EU Users, without prejudice to your mandatory consumer rights, disputes may be submitted to the courts of the EU Member State of your habitual residence, and the GDPR's provisions on judicial remedies apply.

15.3 Gulf countries

For Users in KSA, UAE, Qatar, and Bahrain, disputes are governed by the laws of your country of residence, and you may file complaints with the relevant national data protection authority.

15.4 Alternative dispute resolution

We encourage you to contact us at legal@draxis.app before initiating legal proceedings. We will seek to resolve disputes amicably within 60 days.


16. Changes to these Terms

We may update these Terms. Material changes will be notified in-app and/or by email at least 30 days before taking effect. Continued use after the effective date constitutes acceptance.


17. Severability

If any provision of these Terms is held to be unenforceable, the remaining provisions remain in full force.

19. Jurisdiction-specific annexes

Annex A — Tunisia

  • Governing law: Tunisian law, including Organic Law n° 2004-63 (DPA), Code of Medical Ethics (Law n° 94-112), and Consumer Protection Code (Law n° 117-2004).
  • Telemedicine Decree n° 2020-1291 applies to remote clinical services; DrAxis is a reference tool, not a telemedicine service.

Annex B — European Union

  • Governing law: GDPR and applicable national law of the User's EU Member State of residence.
  • EU Representative: [EU_REP_NAME], [EU_REP_ADDRESS], [EU_REP_EMAIL].
  • Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr.

Annex C — Kingdom of Saudi Arabia

  • Governing law: PDPL (Royal Decree M/19) and its Implementing Regulations.
  • Cross-border transfers require explicit consent or NDMO approval.

Annex D — United Arab Emirates

  • Governing law: Federal Decree-Law n° 45 of 2022 (PDPL).
  • Complaints may be lodged with the UAE Data Office.
